Partner Terms
Draft. This is an outline of the terms, not the final text. Legal review is still pending before the partner program goes live.
1. Nature of the relationship
Taking part in the partner program does not create an employment relationship, agency, or partnership. Partners act independently and are not required to work exclusively with Rutila.
2. Commission
Partners earn a commission on the first purchase of each new customer who redeems their code. The commission is calculated on the net revenue that remains after taxes and app store fees, not on the list price.
The commission rate starts at 20% and can increase with sustained performance. Rates may be adjusted with advance notice; changes never apply retroactively to commissions already recorded.
3. Payout
Commissions become payable once the refund window for the underlying purchase has passed. Refunded purchases do not generate a commission.
Payouts are handled by credit note: partners do not need to issue an invoice. Any taxes on the payout are the partner's own responsibility.
4. Codes and attribution
Each code can be redeemed once per account and only before that account's first purchase. A code that is redeemed by an existing paying customer does not generate a commission.
5. Termination
Both sides can end the participation at any time, without notice period and without giving reasons. Commissions already confirmed remain payable.
6. No guarantee
There is no minimum compensation and no entitlement to the continued existence of the program.
